Welcome to Vikri AI ("Company," "we," "us," or "our"), a flagship product and subsidiary of Gore Enterprises. These Terms of Service and Conditions of Use ("Terms," "Agreement") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "User," "Client," or "Subscriber"), and Gore Enterprises (operating as Vikri AI), concerning your access to and use of our Software-as-a-Service (SaaS) platform, APIs, website, integrated artificial intelligence (AI) automation tools, and associated applications (collectively, the "Service" or "Platform").

BY ACCESSING, REGISTERING FOR, OR USING THE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, ALONG WITH OUR PRIVACY POLICY. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SERVICE AND MUST DISCONTINUE USE IMMEDIATELY.

1. Eligibility and Account Registration

  1. Legal Capacity: You represent and warrant that you possess the legal authority, right, and capacity to enter into this Agreement and to abide by all of its terms and conditions. If you are registering on behalf of a corporation, LLC, or other legal entity, you warrant that you are authorized to bind such entity to these Terms.
  2. Account Security: You are solely responsible for maintaining the strict confidentiality of your account credentials (usernames, passwords, and API keys). You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We will not be liable for any losses, damages, or liabilities arising from your failure to comply with this security obligation.
  3. Account Information: You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

2. Third-Party API Integrations and Data Access

The Vikri AI Platform relies heavily on seamless integration with third-party software applications and Application Programming Interfaces (APIs), including but not limited to Google Business Profile (GBP), Meta Graph API (Facebook and Instagram), and WhatsApp Business API ("Third-Party Services").

Authorization: By connecting any Third-Party Service to the Platform, you expressly grant Vikri AI explicit permission to access, read, write, modify, and manage the data available through that Third-Party Service, as strictly necessary to execute the automated functions you have enabled (e.g., auto-posting, replying to reviews, customer messaging).
  2. Compliance with Third-Party Policies: You acknowledge that your use of Third-Party Services through our Platform is governed solely by the respective Terms of Service, Privacy Policies, and Developer Policies of those Third-Party Providers. You explicitly agree to comply with:
  3. Revocation of Access: You maintain the right to revoke our access (OAuth tokens) to your Third-Party Services at any time through the respective platform's account security settings. Upon successful revocation, the automated functions relying on those connections will immediately cease operating.

3. Use of Artificial Intelligence (AI) and Automation Tools

The Service utilizes advanced Artificial Intelligence models (such as Large Language Models and Generative AI) to analyze data, draft responses, generate images, and publish marketing content on your behalf.

  1. User Responsibility for Content: You acknowledge that AI technology is probabilistic and may occasionally produce unpredictable, inaccurate, or inappropriate outputs ("Hallucinations"). You are solely and intimately responsible for all content, including auto-generated content, published or transmitted via your connected accounts. We highly recommend utilizing the Platform's review-and-approve mechanisms where available.
  2. Prohibited AI Usage: You explicitly agree not to utilize the Platform's AI tools to:
    • Generate or proliferate spam, unsolicited marketing messages, or bulk deceptive practices.
    • Generate content that is defamatory, obscene, highly offensive, discriminatory, or inciting violence.
    • Automate engagements (likes, comments, reviews) in a manner that artificially inflates metrics in violation of the host platform's terms.
    • Impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.

4. Subscription, Billing, and Payments

  1. Fees: You agree to pay all fees or charges to your account in accordance with the billing terms, subscription tier, and pricing schedule in effect at the time a fee or charge is due and payable.
  2. Auto-Renewal: Subscription plans will automatically renew at the end of the applicable billing cycle (monthly or annually) unless you cancel your subscription prior to the renewal date.
  3. Refunds: All payments are non-refundable unless explicitly stated otherwise in our Refund Policy or mandated by local law.

5. Intellectual Property Rights

  1. Vikri AI Property: The Platform, including its original source code, algorithms, UI/UX designs, trademarks, logos, and proprietary AI prompting architectures, are the exclusive intellectual property of Vikri AI and its licensors.
  2. Your Property: We claim no intellectual property rights over the original data, logos, text, or business assets you upload to the Platform. However, by providing this data to us, you grant us a worldwide, royalty-free, limited license to host, process, and display that data strictly for the purpose of operating the Service on your behalf.

6. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL VIKRI AI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, DAMAGE TO BRAND REPUTATION, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY UNAUTHORIZED, INACCURATE, OR HARMFUL CONTENT GENERATED BY THE AI AUTOMATION; OR (III) THE SUSPENSION OF YOUR THIRD-PARTY ACCOUNTS (E.G., FACEBOOK, GOOGLE) DUE TO AUTOMATION VIOLATIONS.

7. Indemnification

You agree to defend, indemnify, and hold harmless Vikri AI and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (a) your use and access of the Service, by you or any person using your account and password, (b) a breach of these Terms, or (c) Content posted by you or the AI on your behalf onto public platforms.

8. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising from or relating to the subject matter of these Terms shall be firmly and finally settled by arbitration in Maharashtra, India.

9. Changes to Terms of Service

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide reasonable advance notice of any material changes (e.g., via email or dashboard notification). Your continued use of the Platform following the posting of any changes to these Terms constitutes acceptance of those changes.
